1 Acceptance of Terms
1.1 By accessing the Site, you agree to be and are bound by the Terms. The expression “Term” extends to modified or additional terms and conditions of use that We may publish from time to time. If you do not agree to the Terms, do not access or use this Site and you must immediately stop using Foto Africa.
1.2 We reserve the right to change or adapt these Terms at any time and without giving reasons. Your continued access or use of the Site constitutes your acceptance of such changes. Your access and use of the Site will be subject to the current version of the Terms, rules and guidelines posted on the Site at the time of such use. Please regularly check the “Terms of Use” link on the Site homepage to view the current Terms. Changes shall be deemed approved by you if you continue to use the Site after the new Terms come into effect. If you breach any of the Terms, your license to access or use the Site shall automatically terminate without further notice to you.
1.3 We may modify, replace or discontinue the Site or any part thereof at any time, for any reason with or without notice in Our sole discretion. We provide the Site on an “as is” and “as available” basis. We do not warrant that the Site will always be uninterrupted, current, timely, secure, error free or suitable for use for any particular purpose or to achieve any particular result.
2 Intellectual Property, Limited License to Users
2.1 Subject to your compliance with these Terms, any applicable license agreement with Us, and the law, you may access and use Foto Africa.
2.2 We remain the sole owner of all right, title, and interest in the Site and reserve all rights not expressly granted under these Terms, including copyright, trademark, patent, trade secret, and other related rights (the Foto Africa Rights). We are the rightful owner or licensee of all rights to Foto Africa. The use of the Site in accordance with these Terms, use of the Foto Africa Rights is only permitted with Our prior written consent.
2.3 All content on the Site including but not limited to images and related metadata (collectively the Foto Africa Content), as well as the selection and arrangement of the Foto Africa Content are protected as the Foto Africa Rights. Any unauthorized use of the Foto Africa Content violates the Foto Africa Rights and the Terms. Except as provided herein or in a separate license agreement between you and Us, We do not grant any express or implied permission to use the Site or any of the Foto Africa Content.
2.4 You agree not to copy republish, frame, link to, download, transmit, modify, adapt, create derivative works on, rent, ease, loan, sell assign, distribute, display, perform, license, sublicense or reverse engineer the Site or any Foto Africa Content. In addition, you agree not to use any data mining, robots, or similar data or image gathering and extraction methods in connection with the Site or Foto Africa Content.
2.5 Unless you enter into a license agreement with Us you may not download, distribute, display, and/or copy any Foto Africa Content.
2.6 You may not remove any watermarks or copyright notices contained in the Foto Africa Content. Displaying and/or distributing to the public any watermarked or unlicensed Foto Africa Content (whether incorporated into a derivative work or alone) constitutes copyright infringement.
2.7 For the purposes of these Terms the term, "Trademark(s)" means all common law or registered trademarks, logos, service marks, trade names, Internet domain names, or other indications of origin now or in the future used by Us.
2.8 Nothing contained herein grants or shall be construed to grant you any rights to use any Foto Africa Trademark, unless expressly conferred by these Terms.
2.9 You agree that you will not use Foto Africa ‘s Trademarks in any manner that might tarnish, disparage, or reflect adversely on such Trademarks or on Foto Africa.
2.10 You agree that you will not contest or otherwise challenge (e.g., in any legal action or otherwise), or assist or encourage any other person or entity to contest or challenge, the validity of any of Foto Africa Trademarks or the Trademark rights claimed by Us.
2.11 You agree that you will not use any Foto Africa Trademark or any variant thereof including misspellings) as a domain name or as part of a domain name regardless of the top-level domain, or as a metatag, keyword, or any other type of programming code or data.
2.12 You may not at any time, adopt, purport to register, or use, without Foto Africa’s prior written consent any word or mark which is similar to or likely to be confused with Foto Africa’s Trademarks.
2.13 The look and feel of Foto Africa, including all page headers, custom graphics, button icons, and scripts, is the trade dress and/or trademark or service mark of the Site and may not be copied, imitated or used, in whole or in part, without Our prior written consent.
2.14 All other trademarks, product names, and company names or logos used or appearing on the Site are the property of their respective owners. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by Us, unless expressly so stated.
2.15 You may not use a Foto Africa Trademark, to link to the Site without Our prior written consent.
2.16 You may not frame or hotlink to the Site or any of the Foto Africa Content without Our prior written consent.
3 Information You Provide
3.1 We (or third parties acting on Our behalf) may collect information related to your use of the Site. Third-party platforms through which you access the Site may collect information related to your use of such third-party platform and make such information available to Us subject to your agreement with the applicable third-party platform. Our collection and use of all such information shall at all times conform to these Terms, the Foto Africa Privacy Policy, and applicable law.
3.2 We will use and protect your personal information, in accordance with the Foto Africa Privacy Statement, the contents of which are incorporated by reference into these Terms.
4 Obtaining Content Through the Site
4.1 You may not use any Foto Africa Content for any purpose without first obtaining a license to use such Foto Africa Content. Any use of Foto Africa Content by you shall be governed by the applicable license agreement separately entered into between you and Us. We reserve the right to change License Fees at any time in our sole discretion, without notice to you.
4.2 The types of rights to use Our Content depends on the type of license you purchase:
(a) Royalty-Free Commercial License: If you purchase a Commercial license, you will receive a non-exclusive, non-sublicenseable, perpetual, irrevocable, worldwide, royalty-free and transferable license to copy, reproduce, modify, publish, display, distribute, create derivative works of, and otherwise exploit such Photo, without providing attribution to the photographer, provided that (i) you may not print more than 1000 copies of such Photo, (ii) you may not allow multi-seat use of such Photo (i.e., you cannot share it with your team). You may use such Photo for Commercial Purposes (as defined below), and create derivative works of such Photo.
(b) Royalty-Free Editorial License: In addition to the Commercial license, some of our images are for Editorial Use Only. This label indicates that the Photo does not have an associated model or property release and that others may have rights in how the Photo is used, such as privacy or publicity rights. If you select an image labelled “Editorial Use Only”, you will receive a non-exclusive, non-sublicenseable, perpetual, irrevocable, worldwide, royalty-free and transferable license to copy, reproduce, modify, publish, display, distribute, and otherwise exploit such Photo, without providing attribution to the photographer, provided that (i) you may not print more than 1000 copies of such Photo, (ii) you may not allow multi-seat use of such Photo (i.e., you cannot share it with your team), (iii) you may use such Photo solely for Noncommercial Purposes. You may create derivative works of such Photo.
4.3 For the purposes of this Section (4), the following definitions apply:
4.3.1 “Noncommercial Purposes” means use that is not primarily intended for or directed towards commercial advantage or monetary compensation, and expressly excludes Restricted Activities.
4.3.2 “Commercial Purposes” means any commercial activity other than Restricted Activities.
4.3.3 “Restricted Activities” means (1) use in digital templates (e.g., Wordpress themes, slide presentation templates, etc.) that will be re-distributed, even if free, (2) use in trademarks, trade names, service marks, or logos, (3) use in connection with any activity that is competitive with Foto Africa, (4) redistribution of the unaltered image as your own artwork, and (5) with respect to any Photo including a Recognizable Individual, use in any Sensitive Material or otherwise in a manner than may depict such Recognizable Individual in a misleading, false, or negative light.
4.3.4 “Recognizable Individual” means a person who is, or reasonably could be, identifiable through one or more distinctive characteristics visible in the applicable Photo or any content presented with such Photo (such as a caption), including but not limited to such person’s name, vocation, facial features, hairstyles or colors, tattoos, scars, disabilities, or other aspects of the person’s dress, demeanor, appearance, or environment that, taken individually or together with other such characteristics, could be used to identify such individual.
4.3.5 “Sensitive Material” means any material or use that a reasonable person could find offensive, including but not limited to, political or religious messages, pornographic materials, and materials depicting any chronic ailment, mental deficiency, substance abuse, financial destitution, income loss, or death.
5 Your Content
5.1 For any image, footage, text, audio, web links, or any other content that you upload or post to the Site (User Content), you represent and warrant that you have all necessary rights to submit User Content to the Site and grant the licenses set forth herein.
5.2 By uploading User Content, you grant Us a limited, worldwide, non-exclusive, royalty-free license and right to copy, transmit, distribute, publicly perform and display (through all media now known or hereafter created), and make derivative works from User Content for the purpose of allowing you to edit and display User Content using the Site and archiving or preserving User Content for disputes, legal proceedings, or investigations. The above licenses will continue unless and until such User Content is removed from Foto Africa, in which case the licenses will terminate within a commercially reasonable period of time. Notwithstanding the foregoing, the license for legal archival/preservation purposes will continue indefinitely.
5.3 You may not upload, post, or transmit any video, image, text, audio recording, or other content that:
5.3.1 contains any pornographic, defamatory, or otherwise unlawful or immoral content;
5.3.2 infringes any third party's copyrights or other intellectual property rights or any right of publicity or privacy;
5.3.3 exploits minors;
5.3.4 depicts unlawful or violent acts;
5.3.5 depicts animal cruelty or violence towards animals;
5.3.6 promotes fraudulent schemes or gives rise to a claim of deceptive advertising or unfair competition; or
5.3.7 violates any law, statute or regulation.
5.3.8 contains a likeness or resemblance of a model, person, property (intellectual or physical) for commercial use under our Commercial license without a relevant model / property release form which, by agreeing to these Terms of Use, you are stating that you possess
6 Infringement Claims
6.1 Please let us know if you believe that any Foto Africa Content made available on the Site contains a violation of the law.
6.2 If you believe that any image, Foto Africa Content or other material made available on the Site infringes upon any copyright that you own or control, you may notify Us at claims@fotoafrica.co.ke in the manner set forth below:
(a) a description of the rights you consider have been infringed;
(b) a statement of the content you believe infringes your rights, preferably including a URL, and the part of the content you believe infringes on your right or an applicable law; and
(c) a statement by you that, to the best of your knowledge and in good faith, you believe that the use in question has not been approved or is not authorized by the rightsholder or its agent.
7 Limitation
7.1 You agree that you shall not:
7.1.1 engage in any conduct that shall constitute a violation of any law or that infringes Our rights or any third party;
7.1.2 violate any applicable laws or regulations related to the access to or use of the Sire or engage in any activity prohibited by these Terms.
7.1.3 violate Our rights or any third party (including rights of privacy and publicity) or abuse, defame, harass, stalk or threaten another.
8 Restriction and Termination of Use
8.1 If you breach any of these Terms, your permission to use the Site will terminate automatically.
8.2 We may block, restrict, disable, suspend or terminate your access to all or part of the Site or Foto Africa Content at any time (with or without notice).
8.3 Any conduct by you that in Our discretion, restricts or inhibits any other person or entity from using or enjoying the Site is strictly prohibited and may result in termination of your access to the Site without further notice.
8.4 We may update, modify, or even discontinue the Site at any time without notice to you.
9 Links to Third Parties
9.1 The use of the Site is at your own risk. We do not guarantee that the content on the Site or linked to other sites is correct or complete. The content of the users does not reflect our opinions or views of life. The presence of links to other websites does not imply at We endorse or recommend the linked site and is not responsible for them. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit. We are also not responsible for the advertising of third parties published on the Site for the goods or services offered therein.
9.2 If We become aware of any violations of the law through content, links to third-party websites or advertising published on the website, We will immediately delete such content, links or advertising.
9.3 We accept no responsibility for errors, omission, interruptions, deletions, defects, delays in operation or transmission, communication line failures or unauthorized access or theft, destruction or modification of user communications. Likewise, We are not liable for problems or technical malfunctions with online systems, servers or providers, computer equipment, software or failures of e-mails or players due to technical problems or data jams on the internet and/or of Foto Africa, unless these are within Our sphere of influence.
10 Indemnification
10.1 You agree to defend, indemnify and hold Us and Our affiliates, licensors, employees, agents, third party information providers, content submitters and independent contractors harmless from and against any and all claims, damages, liabilities, losses or demands arising out of or in connection with (i) your use and access to the Site (ii) your infringement of third-party rights by you or your content (iii) your violation of these Terms.
11 Data Protection
11.1 Use of the Site is subject to our Privacy Policy
12 Representations and Warranties
12.1 You are solely responsible for your content and any consequences that occur as a result of content you have uploaded or posted on the Service. Each time you upload, or post publish User Content, you represent and warrant to us that:
12.1.1 the User Content complies with these Terms and all applicable laws;
12.1.2 you are the creator and owner of the User Content or have all necessary rights from relevant third parties to use, and permit other users to use and/or access, the User Content; and
12.1.3 the User Content (including as used by you, us, or other users of Foto Africa) does not and will not infringe or misappropriate any third party right, including copyright and other intellectual property rights, privacy rights, rights of publicity, or moral rights, or slander, defame, or libel anyone.
13 Governing Law
13.1 These Terms shall be governed by and shall be construed in accordance with the laws of the Republic of Kenya, without respect to its conflict of laws principles.
14 Miscellaneous
14.1 These Terms, together with the applicable conditions of use incorporated in these Terms, Our Privacy Policy and any other policies published on the Site constitute the sole agreement between you and Us regarding your use of the Site.
14.2 These Terms of Use shall be construed neither against nor in favor of any party, but rather in accordance with the fair meaning of the language hereof. The invalidity or unenforceability of any part of these Terms of Use shall not affect the validity or enforceability of the balance hereof.

This Privacy Policy describes how Foto Africa manages personal data and personal information, and respects your privacy. This policy may be amended from time to time. We encourage visitors to and users of our sites to regularly review our Privacy Policy.
All Personal Information (which is defined as any information that identifies or can be used to identify, contact, or locate the person to whom such information pertains) that we collect and maintain will be subject to this Privacy Policy, as amended from time to time.

16. CHANGES TO THE PRIVACY POLICY AND YOUR DUTY TO INFORM US OF CHANGES
We keep our Privacy Policy under regular review.
This version was last updated in [August 2021]. It may change and if it does, these changes will be posted on this page and, where appropriate, notified to you when you log onto any platform through which you provide your personal data to Us. Our said notification will set out instructions on how to access the new Privacy Policy. We will require you to read and accept/consent to the changes in order to enable our continued processing of your personal data.
It is important that the personal data we hold about you is accurate and current. Please keep us informed if your personal data changes during our relationship with you.

17. COLLECTION OF PERSONAL INFORMATION
As a visitor to the Site, you can engage in some activities without providing any Personal Information.
However, when you register to use the Site and order products or services as a Foto Africa subscriber in order to provide the services to you, we may collect the following Personal Information from you:
• Contact information such as your name, phone and fax numbers, address and email address;
• Billing information such as the number, expiration date, card type and billing address of your credit card;
• Demographic information such as your job title, job description and company name and company type; and
• Profile data, including your username and password, details about your purchases and the Content that you license from us.
If you submit Content to Us for licensing, you may be asked to provide the following information:
• Contact information such as your name, phone number, primary address, and email address.
• Payment and contributor information including, but not limited to, payout method, payout email, desired display name, content focus, camera equipment, information about your skill level and creative process, a proof of address, a digital ID copy, and tax details for payouts.
Depending upon the activity, some of the information that we ask you to provide is identified as mandatory and some as voluntary. If you do not provide the mandatory data with respect to a particular activity, you will not be able to engage in that activity.
As is true of most websites, when you use the Site, We or third party subprocessors contracted by Us may also collect certain technical and routing information about your computer to facilitate your use of the Site and its services. For example, we may log environmental variables, such as browser type, operating system, CPU speed, and the Internet Protocol (IP) address of your computer. We use these environmental variables to facilitate and track your use of the Site and its services. We also use such environmental variables to measure traffic patterns on the Site. To better understand the needs of our visitors to the Site we may occasionally match such information with your Personal Information.

You have the right to access and correct or delete your Personal Information and privacy preferences at any time. This may be accomplished by visiting the Members Area on the website where you can view and make changes to most of your Personal Information immediately.
If you wish to delete your account or request that we no longer use your information to provide you services, you can do so by visiting the Members Area. If you are a contributor, you can change your profile through the settings in the Members Area. For security purposes, certain Personal Information can only be changed by contacting support. We will respond to your request promptly within a reasonable timeframe.

19. HOW YOUR PERSONAL INFORMATION IS USED
We collect your information in order to provide services to you, comply with our legal obligations, and to improve our products and services. We do not sell, rent or share your personally identifiable information to or with third parties in any way other than as disclosed in this Privacy Policy. Foto Africa may use this information to:
• Authenticate and provide access to the Foto Africa website, mobiles applications, and services.
• Process your financial transactions.
• Send you order / renewal confirmations.
• Respond to customer service requests, questions and concerns.
• Administer your account.
• Send you requested product or service information.
• Keep you informed about special offers and services of Foto Africa and selected third parties.
• Administer promotions you enter and notify you of the results.
• Investigate, prevent or take action regarding illegal activities and/or violations of our Terms of Service.
• Meet our research and product/service development needs and to improve our Site, services and offerings; and
• Customize your experience, including targeting our services, search results, and offerings to you.
We store information that we collect through cookies, log files, transparent images, and/or third party sources to create a summary of your preferences. We tie your personally identifiable information, and/or your membership usage history, to information in the summary, in order to provide tailored promotions and marketing offers, to improve the content of the Site for you and/or to determine your preferences. We will only send you direct marketing communications by email or text if we have your express opt-in consent. You have the right to withdraw that consent at any time by contacting us.
We will get your express opt-in consent before we share your personal data with any third party other than Juniper Tree for marketing purposes.

In certain situations, We may be required to comply with legal obligations to disclose personal data in response to lawful requests by government authorities.
Where required by law, and when we believe that disclosure is necessary to protect our rights, avoid litigation, protect your safety or the safety of others, investigate fraud, and/or respond to a government request. We may also disclose information about you in order to comply with our legal obligations if we determine that such disclosure should be made for lawful reasons or other issues of public importance.

20. DISCLOSURES OF YOUR PERSONAL DATA
When you consent to providing us with your personal data, we will also ask you for your consent to share your personal data with the third parties set out below for the purposes set out in the table above (Purposes for which we will use your personal data):
External third parties
• Service providers acting as processors based in Kenya
• Professional advisers acting as processors or joint controllers including lawyers, bankers, auditors and insurers based in Kenya who provide consultancy, banking, legal, insurance or accounting services.
• Third parties to whom we may choose to sell, transfer or merge parts of our business or our assets. Alternatively, we may seek to acquire other businesses or merge with them. If a change happens to our business, then the new owners may use your personal data in the same way as set out in this Privacy Policy.
Safeguards that are adopted to ensure personal data security in the event of disclosure to third parties
Third party controller contracts
We will only transfer your personal data to third party controllers (other than government agencies) if they have a written or electronic contract with Us. In the contract, We shall seek to contractually safeguard your data protection interests when personal data is processed by third party controllers.
Third party processor contracts
We will only transfer your personal data to third party processors if they have a written or electronic contract with Us (Data Processing Agreement). The contract with a third-party processor will include the following provisions:
• the third-party processor shall process personal data only in accordance with Our instructions and for the purposes authorized by Us;
• the third-party processor shall keep the personal data confidential;
• the third-party processor shall take appropriate technical, physical and organizational security measures to protect the personal data;
• the third-party processor shall not permit subcontractors to process personal data in connection with its obligations to Us without the prior written consent of Foto Africa;
• We have the right to review the security measures taken by the third-party processor (a) by an obligation of the third-party processor to submit its relevant data processing facilities to audits and inspections by Us, a third-party on behalf of Foto Africa or any relevant government authority; or (b) by means of a statement issued by a qualified independent third-party assessor on behalf of the third-party processor certifying that the data processing facilities of the third-party processor used for the processing of the personal data comply with the requirements of the Data Processing Agreement;
• the third-party processor shall promptly inform Us of any actual or suspected data security breach involving personal data; and
• the third-party processor shall take adequate remedial measures as soon as possible and shall promptly provide Us with all relevant information and assistance as requested by Us regarding the data security breach.
Foto Africa uses one or more outside payment gateway companies to bill you for our goods and services. To the best of our knowledge, these companies do not retain, share, store or use personally identifiable information for any other purpose.
We do not sell or otherwise provide Personal Information to other companies for the marketing of their own products or services.

21. INTERNATION TRANSFERS
By agreeing to this Privacy Policy and providing us with your personal data, you expressly consent to the transfer of your personal data out of your country to any other country as We may determine from time to time) in line with the preceding paragraphs.

22. DATA SECURITY
The Personal Information that you provide in connection with the use of the Site is protected in several ways.
• Access by you to your account profile is available through a password and unique customer ID selected by you. This password is encrypted. You should strive to use a strong, alpha-numeric password which you should not divulge to anyone.
• Your Personal Information resides on secure servers that only selected Foto Africa personnel and contractors have access to via password.
• Your Personal Information is encrypted whenever it is transmitted to Us.
• When you enter sensitive information (such as credit card number) on our registration or order forms, we encrypt that information using transport layer security technology
We strive to protect the Personal Information submitted to us, both during transmission and once we receive it. However, no method of transmission over the Internet, or method of electronic storage, is absolutely secure. While we take into account the sensitivity of the Personal Information we collect, process and store, and the current state of technology to use these measures protect your Personal Information, we cannot guarantee its absolute security.

23. DATA RETENTION
We retain your personal data for as long as needed or permitted in light of the purpose(s) for which they were obtained and consistent with applicable law. The criteria used to determine our retention periods include:
• Whether there is a legal obligation to which we are subject (for example, certain laws require us to keep records of your transactions for a certain period of time before we can delete them).
• Whether retention is advisable in light of our legal position (such as in regard to applicable statutes of limitations, litigation or regulatory investigations).
In some circumstances you can ask us to delete your data: see “Your legal rights” below for further information.
In some circumstances we will anonymise your personal data (so that it can no longer be associated with you) for research or statistical purposes, in which case we may use this information indefinitely without further notice to you.

To the extent provided by applicable law, you may be entitled to the following rights:
Right of access
• To obtain confirmation from us as to whether or not we hold personal data about you, access such data and other information in regard to such data.
• To obtain a copy of your personal data.
Right of rectification
The modification of personal data if they are incorrect, misleading or incomplete.
Right to deletion
The deletion of personal data under certain instances, for example where you consented to their use and have since withdrawn your consent, or where they are illegally used or where the data is false or misleading.
Right to restriction
The limitation of the use of personal data under certain circumstances.
Right to portability
• ïThe receipt of the personal data which you provided to Us, in a structured, commonly used and machine-readable format.
• ïTransmitting such personal data, or having them transmitted where technically feasible, to another company responsible for their use, under certain circumstances.
